The EMEA Legal Department, consisting of 22 highly qualified lawyers in nine countries, provides and coordinates legal services for all our group companies in Europe, the Middle East and Africa.

Function

We currently have a vacant position as Senior Legal & Compliance Counsel (m/f/div) for an experienced transactional lawyer to support our Electronic Materials Business either out of Zwijndrecht/Belgium or from our regional HQ in Ratingen/Germany.

Within our team, you will work both independently and collaboratively and be a reliable legal and compliance resource as well as a valued business partner.

Your responsibilities:

  • Advise on day-to-day legal affairs, various domestic and cross-border transactions, contracts, and corporate matters of Fujifilm Electronic Materials, ensuring operational and regulatory compliance.   
  • Draft, review, and negotiate strategic and complex commercial and chemical manufacturing contracts ensuring alignment with internal corporate policies and applicable laws.  These include domestic and international supply and distribution agreements, intra-company agreements, toll/contracted manufacturing agreements, quality agreements, joint venture agreements, joint development agreements, technology licensing agreements, SaaS agreements, facilities services agreements, logistics services agreements, real estate agreements, etc.
  • Develop and update standard form agreements and templates of certain designated subsidiaries, ensuring alignment with internal corporate policies and applicable laws.
  • Advise and support designated Fujifilm subsidiaries on general corporate matters, corporate governance, mergers, acquisitions, divestitures, and other strategic corporate transactions and reorganizations.
  • Prepare and maintain accurate and complete corporate records for domestic and international legal entities.
  • Support pre-litigation, litigation, dispute resolution, and settlement matters, and handle other specialized matters with the assistance of external counsel resources, minimizing risks while maximizing FUJIFILM’s legal positions.
  • Provide actionable and sound legal advice, prepare reports, and make recommendations to management on a variety of legal issues.
  • Monitor relevant legislative and regulatory changes that may affect the designated Fujifilm entities.
  • Provide training to relevant Fujifilm affiliates on substantive legal topics, including contracts, antitrust, and other regulations specific to chemicals manufacturing companies.
  • Enhance and pro-actively manage Fujifilm’s regional compliance management system in designated affiliates:
    • Create and implement compliance policies, procedures and controls in cooperation with FUJIFILM Europe’s Compliance Department and other relevant risk management divisions.
    • Develop and conduct compliance trainings – face to face or via webinars for relevant executives and employees.
    • Organize, conduct, analyze and report on compliance audits, self-audits and risk assessments and follow up with mitigating measures.
    • If necessary, support (internal) compliance investigations.

Profile

Skill/Educational Requirements:

You have a high calibre professional legal background, relevant practical experience in a law firm and/or multinational corporation and are familiar with international legal systems and commercial practices. You offer:

  • 7-10 years professional experience in corporate and commercial law (including multi-jurisdictional and cross-border transactional experience).
  • a high degree of professionalism to excel in an international environment and the ability to work proactively and under pressure.
  • Experience managing outside counsel and/or legal staff with budget-consciousness.
  • English legal, written and conversational fluency is required. Proficiency in at least one other European language is a plus with Dutch, French, German preferred.
  • Ability to collaborate with multicultural teams and companies operating across different time zones; some travel may be requested. Cross-cultural awareness preferred.
  • Legal experience or demonstrated interest in the chemicals or semiconductor manufacturing industry is a plus.
  • Strong planning and prioritizing, organization, communication, multitasking, problem-solving, and interpersonal skills.
  • Strong work ethic and ability to concurrently deliver multiple projects.
  • Excellent verbal, written, and presentation skills, including business communications with senior leadership, and ability to solve and explain legal issues.
  • A license to practice law in good standing under the jurisdiction of the relevant work location.
